TERMS AND CONDITIONS
1.0 Definitions
Carrier, Company - refers to Communications Design
Acquisition Corporation
Collect Call - a billing arrangement
by which the originating caller may bill the charges for a call to the called
party, provided the called party agrees to accept responsibility for the
charges.
Commission - the Federal Communications
Commission.
Completed - is a call that the Company's network has
determined has been answered by a person, answering machine, fax machine,
computer modem device, or other mechanical answering device.
Customer - means any person, firm, corporation or
governmental division who has applied for and is granted service or who is
responsible for payment of service.
Day - from 8:00 A.M.
up to but not including5:00 P.M. local time Monday through Friday.
Evening - from 5:00 P.M. up to
but not including 11:00
P.M. local time Monday Through Friday.
Holiday - refers to New Year's Day,
Memorial Day, Independence Day, Labor Day, Thanksgiving Day, Christmas
Day.
Measured Charge - refers to a charge assessed on a
per-minute basis in calculating a portion of the charges due for a completed
inter-exchange call.
Night/Weekend - the hours from 11:00 P.M. up to but not
including from 8:00 A.M. Sunday through Friday, and from 8:00 A.M. Saturday up
to but not including 5:00 P.M. Sunday.
Operator Dialed Surcharge - this charge applies to calls
when the user dials "00" only or any valid company operator access
code and requests the operator dial the destination number.
Operator Station Call - a service by which the originating
customer requests the assistance of a company operator to place or bill the
call. Calls billed collect to a telephone company issued Calling Card or to a
third party are Operator Station Calls unless the call is placed on a
person-to-person basis.
Person-to-Person Call - a service by which the person
originating the call specifies to the company operator a particular person to
be reached, a particular mobile station, a particular station, room number,
department, or office to be reached through a PBX attendant.
Residential Customer - is a customer who has telephone service
at a dwelling and the service is used primarily for domestic or social
purposes. All other customers are non-residential customers.
Service - means any telecommunications service(s) provided
by the carrier under these schedules.
Station - is a telephone instrument consisting of a
connected transmitter, receiver, and associated apparatus to permit sending or
receiving telephone messages.
Third-Party Billing - a billing arrangement by which the
charges for a call may be billed to a telephone number that is different from
the calling number.
Time period - means the interval of hours that distinguish
rate periods. See Page 7 for a full explanation of the time periods that apply
to calls.
Travel Card - is a credit or debit card issued by Carrier
that allows Subscribers and/or Users to make telephone calls and charge the
calls to a credit or debit account. Calls charged to a carrier-issued credit
travel card will appear on the Subscriber's regular monthly bill.
User - is the person(s) utilizing Carrier's services.
2.0 General Description of Services Offered
1. These Terms and Conditions and Rate Schedules govern Carrier services
Specific services and rates are described in the Rate Schedules.
2. Carrier services are available 24 hours per day, 7 days a week.
3. Carrier services are available for both residential and non-residential
customers.
4. Carrier provides inter exchange telecommunication services, including
switched and dedicated access long distance communications service. Calls are
rated based on the duration of the call.
3.0 Calculation of Rates
1. Rates for service are based on airline mileage
between rate centers of the calling and called stations. The location of Rate
Centers is based on information provided by Bell Operating Companies. Mileage
is calculated using the Vertical and Horizontal (V& H) coordinate system
from the National Exchange Carriers Association Tariff FCC No. 4.
2. The chargeable time of a call is timed and measured by the underlying
carrier. Timing of calls begins when the call is answered at the called
station. Different rates may apply depending on the time of day or day of week
the call is made. Calls originating in one time period and terminating in
another time period will be billed according to the rates in effect during each
portion of the call.
4. Billing for calls placed over Carrier's network is based in part on the
duration of the call. Billing is in one (1) minute increments. Any fractional
portion of a call is rounded up to the next highest billing increment.
4.0 Credit, Collection, and Dispute Resolution
Procedures
1. For billing purposes, service is established on the date the customer's
local exchange carrier switches the customer's service to the reselling
Carrier's network.
2. Carrier bills charges monthly in arrears. For billing purposes, a month
consists of thirty (30) days.
3. Carrier does not charge a fee to restore service that was disconnected
for non-payment of bills, violation of the Terms and Conditions, or fraudulent
use of Carrier's services.
4. All taxes are listed as separate line items and are not included in the
rates quoted in the Rate Schedules.
5. Carrier charges Five Dollars ($5.00) or the amount of the bank charge not
to exceed Fifteen Dollars ($15.00) for each check returned as uncollectible.
6. All customer bills are due and payable when presented. The bill becomes
past due no less than thirty (30) days after postmarked. Once a bill is past
due, the carrier may proceed with credit and collection activities.
7. Customer complaints are handled by a full-service Customer Service
Department. Customers may call 877-625-7226 from 9:00a.m.
to 5:00 p.m.

If the customer is not satisfied with Carrier's response, the customer may
contact the Federal Communications Commission.
8. Carrier may, from time to time, offer promotional offerings.
5. Interruption of Service/Liability
1. Carrier will attempt to provide continuous and uninterrupted service.
When Carrier schedules a service interruption for maintenance or repairs,
Carrier will notify customers of the cause and expected duration of the
interruption at least 24 hours in advance, when possible.
2. Carrier's liability for damages arising out of mistakes, interruptions,
omission, delays, errors, or defects in the transmission occurring in
furnishing service or in Carrier facilities, and not caused by the negligence
of its employees or agents, will not exceed the amount that Carrier would have
charged the customer for service for the period the aforementioned faults
occur.
3. Upon customer request, Carrier will credit a customer's account for
service interruptions which are not due to Carrier's testing or adjusting,
negligence of the customer, or to the failure of channels or equipment provided
by the customer. Before requesting a credit, the customer will take reasonable
steps to verify that the trouble could not have been prevented by the customer
and is not in the customer's wiring or equipment. For purposes of computing a
credit for leased facilities, a month consists of seven hundred twenty
(720) hours. Carrier will credit the customer's account at the rate of
1/720th of the monthly charge for the facilities affected for each full hour of
the interruption.
4. Carrier is protected against customer claims for libel, slander, or
copyright infringement arising from the material, data, information, or other
content transmitted using Carrier services. Carrier is protected against all
other claims arising from any act or omission of the customer while using
Carrier services.
5. Any provisions that limit liability or damages do not apply to the extent
they conflict with Maine Statute, 11 M.R.S.A.2-316(5), Exclusion
or Modification of Warranties.

6. Rate Schedules
1 Description of Services
Carrier provides inter-exchange telecommunications services, including
switched and dedicated access long distance communications service, operator
assisted, in-bound 800 and travel card services. Calls are rated based on the
duration of the call.
Calculation of Usage Rates
Billing for calls placed over Carrier's network is based in part on the
duration of the call. Billing is in one (1) minute increments. Timing begins
when the called station is answered, as determined by standard industry methods
generally in use for ascertaining answer, including hardware answer supervision
in which the local telephone company sends a signal to the switch. A call is
terminated when either party (called or calling) hangs up. Upon request of the
Subscriber, credit will be provided for uncompleted calls/wrong numbers. Any
fractional portion of a call is rounded up to the next highest billing
increment.
3. Rate Schedules
This section sets forth the rates and charges applicable to Carrier's
service offerings.
(a) Message Telecommunications Services
Message Telecommunications Services consist of the furnishing of
direct-dialed message telephone service between telephone stations located
within the country. The rates listed below are the maximum rates that may be
applied. The minimum rates charged are 25% of the rates listed in the table
below.

(b) Operator Services
The use of the carrier's Operator Services allows a customer to select from special call handling or billing arrangements. Rates vary based on call type (i.e., calling card, collect, third-party billed, station-to station or person-to person). The rates listed below are the maximum rates that may be applied. The minimum rates charged are 25% of the rates listed in the table below. A per call service charge applies in addition to usage charges.

(c) 800 Service
800 Service is an inbound toll-free service that is orderedand billed to the customer receiving the call. It is provided ona switched basis. The rates listed below are the maximum ratesthat may be applied. The minimum rates charged are 25% of therates listed in the table below.

(d) Postpaid Travel Card Service
Postpaid travel card service is available to Customers of Carrier's long distance services. Customers will reach Carrier's network via a toll free number. A Customer who elects to use this service will pay the tariffed rates for calls charged to thecard. Charges for such calls appear on the Customer's regularmonthly bill. The rates listed below are the maximum rates thatmay be applied. The minimum rates charged are 25% of the rateslisted in the table below.

(e) Prepaid Debit Travel Card Service
Prepaid debit travel card service is a prepaid long distance calling card service under which Users purchase cards in predetermined amounts for long distance usage. Two types of prepaid debit travel cards are offered: refreshable or disposable. With refreshable cards, Customers can increase the balance on the card by contacting Carrier. Disposable cards are not refreshable. The service is accessed through a toll-free number. As Users access the service their usage and required taxes are automatically deducted from the remaining card balance. Cards are available in different denominations ranging from $1.00- $250.00.

(f) Long Distance Directory Assistance
Directory Assistance is available to customers. The Directory Assistance charge applies to each call to the directory assistance bureau. The charge applies regardless of whether the directory assistance bureau is able to furnish the requested number.
Long Distance directory assistance is available at $0.99 per inquiry.
OPTIONAL TOLL CALLING PLANS
7. Optional calling plans and promotional programs are offered and readily available at rates lower than the maximum rates listed in Section 6. Some calling plans may have an additional charge that may be applied to include intrastate minutes. Call you local business office for details on whether these surcharges could affect your state.

8. International Telecommunications Services
1 Description of Services
Carrier provides international telecommunications services, including switched and dedicated access long distance communications service and operator assisted service, pursuant to its Section 214 global authorization (File No. ITC-98-431).
